VersaLuxe (Pty) Ltd | Effective 1 September 2026

Welcome to VersaLuxe. These Terms and Conditions govern the use of the VersaLuxe website and purchases from VersaLuxe (Pty) Ltd (“VersaLuxe”, “we”, “us” or “our”). By accessing our website, requesting a quotation, placing an order or purchasing from VersaLuxe, you agree to these terms.

1. About VersaLuxe

VersaLuxe (Pty) Ltd is a South African supply and distribution company providing hygiene paper products, cleaning and hygiene products, fragrances, stationery, workplace supplies, PPE, branding services and related products. Certain products are supplied under our own brands, including FreshPly and FreshAro, while other products may be sourced from approved third-party manufacturers and suppliers.

2. Products and Product Information

We make reasonable efforts to ensure product descriptions, specifications, images and other information displayed on our website are accurate. Packaging, colours, labels and product appearance may occasionally differ from website images because of packaging updates, supplier changes or product improvements. Product images may therefore be illustrative where appropriate. Material specifications confirmed in an accepted quotation or order remain applicable.

3. Prices

All prices displayed on the website are quoted in South African Rand (ZAR) unless otherwise stated. Prices may change due to supplier pricing, transport costs, manufacturing costs or other market conditions. The price applicable to an order will be the price confirmed when the order is accepted by VersaLuxe. Where a formal quotation has been issued, its stated price and validity period will apply. Any applicable taxes, delivery fees or additional charges will be communicated where required.

4. Quotations and Corporate Orders

Corporate, wholesale, reseller and bulk customers may request formal quotations. A quotation does not constitute a confirmed order until it has been accepted by the customer and VersaLuxe has confirmed the order. Large or customised orders may require a deposit or full payment before procurement, production, branding or delivery begins.

5. Orders

All orders are subject to product availability, payment approval, confirmation by VersaLuxe, and any applicable delivery or minimum-order requirements. VersaLuxe may decline or cancel an order where a product is unavailable, pricing information contains a genuine error, payment cannot be verified, or the order cannot reasonably be fulfilled. Where payment has already been received for an order that cannot be fulfilled, the affected amount will be refunded through an appropriate payment channel.

6. Payment - PayJustNow

Online payments and applicable payment options may be facilitated through PayJustNow. Where a customer selects PayJustNow, the transaction may also be subject to PayJustNow's own terms, eligibility requirements, payment schedules and privacy practices. An order is regarded as paid once VersaLuxe receives successful payment confirmation through the applicable payment channel. VersaLuxe does not control approval decisions made independently by PayJustNow.

7. Delivery - Bob Go

VersaLuxe uses Bob Go and/or its supported courier network to facilitate delivery of eligible online orders. Delivery charges may depend on the delivery address, parcel size, weight and courier service. Customers must provide accurate delivery information and ensure an authorised person is available to receive the order. Delivery dates and times are estimates and may be affected by circumstances outside VersaLuxe's reasonable control. Large corporate, wholesale or bulk orders may be delivered through separate arrangements where appropriate.

8. Returns, Exchanges and Refunds

Returns, exchanges and refunds are handled in accordance with the VersaLuxe Refund & Returns Policy and applicable South African consumer law. Nothing in these Terms limits rights that cannot lawfully be excluded.

9. Order Cancellations

Customers wishing to cancel an order should contact VersaLuxe as soon as possible. If procurement, production, branding or dispatch has already commenced, cancellation may be subject to reasonable costs or may no longer be possible, depending on the nature of the order and applicable consumer law.

10. Bulk, Wholesale and Reseller

Purchases
Wholesale and reseller pricing may be subject to minimum quantities and separate commercial terms. Unless expressly agreed in writing, purchasing products from VersaLuxe does not grant a reseller exclusivity over a territory, customer group or market.

11. Branding and Customised Products

Where customers request customised branding, printing, labelling or packaging, the customer is responsible for approving final artwork, spelling, quantities and specifications before production. VersaLuxe will not be responsible for errors appearing in information expressly approved by the customer, except where VersaLuxe failed to follow the approved specification.

12. Website Use

Users may not use the VersaLuxe website for unlawful purposes or attempt to interfere with its security, functionality or availability. VersaLuxe branding, product names, logos, website content, photographs, graphics and other intellectual property may not be copied or commercially used without permission, except where permitted by law.

13. Privacy and Personal Information

VersaLuxe respects the privacy of customers and website users. Personal information will be processed in accordance with applicable South African data-protection legislation, including the Protection of Personal Information Act (POPIA), and our Privacy Policy. Information may be used where reasonably necessary to process orders, arrange deliveries, communicate with customers, maintain business records, prevent fraud and provide requested services.

14. Third-Party Services

The website may integrate third-party providers, including PayJustNow for payment services and Bob Go for delivery fulfilment. Customers using those services may also be subject to the relevant provider's terms, eligibility requirements and privacy practices.

15. Limitation of Liability

VersaLuxe will take reasonable care in supplying products and operating its website. Nothing in these Terms excludes or limits liability that cannot legally be excluded under South African law. To the extent permitted by law, VersaLuxe will not be responsible for indirect or consequential losses resulting from circumstances outside its reasonable control.

16. Intellectual PropertyThe VersaLuxe,

FreshPly and FreshAro names, branding, logos, designs and associated marketing material are proprietary to VersaLuxe or used with appropriate authority. They may not be reproduced, modified or commercially exploited without prior written permission.

17. Changes to These Terms

VersaLuxe may update these Terms periodically to reflect changes to products, services, the website or legal requirements. The latest version published on the website will apply from its stated effective date.

18. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any dispute will be dealt with in accordance with applicable South African law and the rights available to consumers under relevant legislation.
